How We Help

We provide an extensive range of services to developers, lenders, and owners; federal, state, and local government entities; contractors; management companies; investors; nonprofit organizations; and others involved with community development projects. We know that time kills deals so we are focused on keeping deals on track.  We provide client service on real estate matters including:

  • Leasing: Our leasing practice includes representing nationally recognized restaurants, retailers, and shopping center owners. We also represent local, regional, and national retailers and restaurants, investors, owners, and developers nationwide. We are leasing counsel to a wide variety of retail, office, warehouse, medical office, and other commercial landlords and tenants across the country. Representing both landlords and tenants as well as knowing what is customary in the industry, what provisions are likely to be acceptable to project lenders (a critical skill with respect to ground leases and build-to-suit leases), and what provisions may be negotiated to advantage given the circumstances helps us advance our client’s objectives.
  • Real Estate Financing: We help structure, negotiate, and document construction, interim, and long-term financing transactions. We also assist with co-lender, participation, and inter-creditor agreements. Our financing experience covers single and multi-family developments, industrial sites, hotels, regional malls, local shopping center developments, national retail power centers, condominiums, office, and special use sites.
  • Economic Development Incentives and Tax Planning: We advise clients on projects financed with Historic Tax Credits (HTC), New Markets Tax Credits (NMTC), tax increment financing (TIF), opportunity and enterprise zones, preservation easements, certain loans, and grant programs such as brownfield remediation. Our attorneys have a proven track record of navigating the nuances of complex NMTC projects, including those combined with HTC and obtaining alternative sources of funding for owners, developers, and sponsors. We also assist clients with other real estate tax planning strategies, such as installment sales, maintaining “investor” status, and the valuation and gifting of partnership or membership interest to family members.
  • Commercial Development and Divestiture: We assist with the development of multifamily properties, hotels, warehouses, office buildings, retail strip centers, mixed-use developments, commercial condominiums, hospitals, medical office buildings, ambulatory surgical centers, urgent care facilities, and pre-leasing for such developments. We represent for-profit and not-for-profit developers and lenders in connection with the development, financing, purchase, and sale of apartments, larger tract residential subdivision developments, retirement housing facilities, nursing homes and condominium projects. We also represent many companies developing, acquiring, selling, financing, operating, and disposing of retail centers and hospitality businesses.
  • Contracts: We negotiate a variety of agreements, including but not limited to purchase contracts, operations transfer agreements, commercial leases, management agreements, reciprocal easement agreements and declarations, and complex operating and limited partnership agreements.
  • Complex transactions: We are dedicated to resolving complex real estate transactions, such as title and survey issues, reciprocal use agreements, creating commercial condominiums to take advantage of certain financing opportunities, and creating complicated air split parcels.
  • Foreclosures and workouts: We represent lenders in attempts at restructuring loan agreements with defaulting and prospectively defaulting debtors and in foreclosing on secured property. We also represent debtors in dealing with foreclosure matters.
