  • Represented a global systems integration company in its U.S. acquisitions of security systems integrators in transactions ranging from $7 million to $29 million, many of which contained earn-out provisions.

  • Represented an independent sponsor firm in acquisitions of a scrap metal recycling business for approximately $25 million, a net manufacturer for approximately $8 million, and a low-speed electric vehicle manufacturer for approximately $15 million with rollover equity, and in each case the investment and financing documentation related thereto.

  • Led due diligence review and disclosure schedule preparation for a team representing a regional grocery store in the sale of its pharmacy assets and license of its pharmacy space to a national pharmacy chain for approximately $90 million.

  • Represented an industrial and commercial fire protection contractor through an auction process and sale to an international security solutions provider for $82 million.

  • Acted as lead counsel for an individual purchasing an audiology practice for $100,000.

  • Represented a private equity buyer in its acquisition of a restaurant for $2.5 million.

  • Assisted with preparing a Hart-Scott-Rodino (HSR) Act antitrust filing as part of the sale of a manufacturing company to a private equity investor, assisting with the collection and analysis of the client’s communications, notes, and other documentation to comply with disclosure requirements.

  • Represented a start-up medical device company in multiple capital raises with existing investors and served as outside general counsel.
