  • Ongoing representation of a private equity group on platform acquisitions and bolt-on transactions in an average of two to four transactions per year with deals ranging from $10-60 million, advising on all aspects of the transaction, including tax structuring, rollover equity components, seller financing, and structuring earnouts.
  • Represented a family office portfolio company on three simultaneous bolt-on acquisitions structured as asset sales in the valve manufacturing industry, with deals ranging in size from $5-10 million.
  • Represented a startup software solutions company in the sale of its configure, price, and quote (CPQ) software business to Oracle for $40 million, including a pre-closing spin-off of a segment of the business and post-closing employment agreements and earnout consideration.
  • Represented a multi-generational family business in an equity sale of its refrigerated gel pack manufacturing business to a private equity group for $45 million and continue to represent the company post-closing in general corporate matters.
  • Prepared a Hart-Scott-Rodino (HSR) Act antitrust filing as part of the sale of a manufacturing company to a private equity investor, managing the collection and analysis of the client’s communications, notes, and other documentation to comply with disclosure requirements.
  • Worked as part of a team that implemented a rapid growth strategy for a leading market flowshare measurement company through the procurement of private equity investment and mezzanine debt, followed by multiple strategic acquisitions.
  • Acted as local counsel to a Swedish company as part of an acquisition of a U.S. division of another international company.

  • Served as outside general counsel for a utility company with operations in five states and conducted a commercial contract review for the company and its subsidiaries.
